Founded in 1895, Coeclerici is an Italian multinational group, that operates in the commodities (specifically the steel and energy industries) and industry sectors. Headquartered in Milan, Italy, the group has a significant international presence with offices and operations across 14 markets in Europe, Asia, Australia and the Americas.


The Challenge

Coeclerici Far East, part of this long-established, family-owned global group, draws board members from multiple jurisdictions. While the board comprised experienced global directors, members had differing levels of familiarity with Singapore-specific governance frameworks, director duties and regulatory requirements.

With a small global board convening in Singapore, the organisation sought a targeted refresher to:

  • Re-anchor directors on core board and fiduciary responsibilities

  • Clarify distinctions between board and management roles

  • Build confidence in discharging duties within Singapore’s regulatory environment

The Programme: Board and Director Fundamentals Review

SID Board Academy delivered a Board and Director Fundamentals Refresher programme for a select group of global board members and executives in Singapore.

Focus areas:

  • Directors’ duties, liabilities and responsibilities under Singapore law 

  • Board oversight and governance frameworks 

  • Board – management role clarity and accountability 

The programme was led by an SID Faculty member with extensive expertise in corporate governance, enterprise risk management and ethics. By blending academic rigour with real‑world insights, the programme equipped directors with clarity and practical application.
